NCD Management Platform

Overview

What We Do

The Gradivus NCD Management System is NCD lifecycle management for issuers, under your own brand. It is not a registrar, a debenture trustee or a generic compliance tracker: it is the issuer's own system for every NCD it has issued, working alongside all of them. It brings deal set-up, ISINs, cash-flow schedules, record dates, payouts with TDS, Benpos reconciliation, security perfection, covenant monitoring, documents and the compliance calendar into one system. It is built for the issuer's compliance, treasury, tax and finance teams, with portals for investors and debenture trustees. Data is captured once and reused across every schedule, report and filing that depends on it.

Capture Once, Report to Everyone

An issuer with several NCDs, ISINs, trustees and agencies often prepares the same information again and again, once for each recipient. The platform keeps one record of every NCD and ISIN and prepares each output from it.

What the Platform Covers

01

Deal & ISIN Set-up

One record per issuance, one register per ISIN

Each NCD issuance is set up once: issuer details, instrument terms, coupon and tenure, parties (debenture trustee, RTA, credit rating agency, stock exchange, arranger), rating and listing. Every ISIN carries its own terms, ISIN format and check-digit validation, and a running ledger of allotments and redemptions.

02

Schedules & Payouts

Interest and principal, computed exactly

Interest and redemption schedules follow the Key Information Document, with day-count conventions (Actual/Actual and others), holiday calendars for working-day shifts and paise-level precision. The system checks the schedule against its own calculation and flags any difference. It never overrides the KID.

03

Record Dates, Benpos & TDS

The right holder, the right amount

Beneficiary position files from NSDL, CDSL or the RTA are reconciled against the quantity outstanding on the record date before any payout is prepared. Holder-level TDS and net amounts are computed, and every money-affecting step needs a second person to approve it.

04

Security Perfection

Charges, CERSAI and ROC in one place

Charge creation, modification and satisfaction are tracked across CERSAI and ROC (CHG-1, CHG-9, CHG-4), together with pledge movements, share monitoring, security cover, top-ups and invocation events, with every acknowledgement and file stored on the record.

05

Compliance & Covenants

Obligations generated, not remembered

Obligations under SEBI NCS Regulations 2021, SEBI LODR Chapter V, SEBI master circulars, exchange requirements and the Companies Act 2013 are generated from a versioned regulatory library. Where a deal document sets a different timeline, both dates are shown and any gap is flagged. Financial and non-financial covenants are tracked period by period.

06

Documents & Reporting

Capture once, report everywhere

Legal documents move from draft through execution to the executed record. Reports and intimations for stock exchanges, debenture trustees and credit rating agencies, including the quarterly compliance report, are built from the same underlying data. Nothing is re-keyed.

07

Investor Portal

Self-service on web and mobile app

Investors see their own holdings, payouts and tax documents across every NCD and ISIN, under your brand, on the web or the mobile app for Android and iOS. Each investor sees only their own records.

08

Investor Grievances

Easy to track, quick to answer

Investors raise a grievance on the web or the mobile app and track it to closure. Your team sees every open grievance against the 21-day response window and SCORES. Replies are drafted automatically from the data already in the system, such as payout status, TDS deducted and record dates, so most grievances are answered in minutes once your team approves the reply.

09

Trustee Portal

Per-deal access for debenture trustees

Debenture trustees get per-deal access to the information they need to monitor the issue: compliance status, security, covenants and payments. Each trustee sees only the deals it acts on.

A Coupon Run, End to End

Every interest or redemption payment follows the same controlled path, from record date to reporting:

  1. Record date - Fixed from the deal's terms, with the exchange intimation prepared ahead of it.
  2. Benpos reconciled - Holder positions on the record date are matched against the quantity outstanding. A mismatch stops the run and shows the exact figures.
  3. Interest computed - Each holder's gross amount comes from the schedule and the deal's day-count convention, exact to the paisa.
  4. TDS applied - Tax is deducted holder by holder to arrive at the net amount payable.
  5. Second approval - The person who prepared the payout can never approve it.
  6. Payment and settlement - The bank's settlement file is reconciled holder by holder, and every failed credit is raised as an unpaid due.
  7. Reporting - Payment intimations and status updates are prepared from the same record.

Unclaimed Amounts, Tracked to the Day

Interest or redemption money that does not reach an investor has its own timeline under SEBI's listing regulations. The platform follows each amount until it is paid, claimed or transferred:

  1. Failed credit identified - From the bank's settlement file, with one unpaid due per holder.
  2. Re-credit - Once the investor's bank details are corrected, a second person confirms the re-credit.
  3. Escrow transfer - Amounts unclaimed for 30 days are proposed for transfer to the escrow account within the following 7 days.
  4. Escrow claims - Investor claims are tracked from lodging to closure against a verification checklist.
  5. IEPF schedule - Amounts that stay unclaimed are scheduled for transfer on the date the amended rule sets (in force since 22 January 2026), with alerts 90, 30 and 7 days ahead.
  6. Website disclosure - The prescribed disclosure table and nodal officer details are prepared for your website.

Your Brand, Our Platform

The platform is delivered as a white-label product, so your teams, investors and trustees use a system that carries your identity:

  • Your branding - Logo, colours, name and domain configured for your organisation.
  • Your own tenant - Each client's data is isolated in its own tenant, and no query returns another tenant's records.
  • Your approval matrix - Roles, scopes and approvers set to your organisation's structure, with maker-checker enforced on every money-affecting action.
  • Your configuration - Validations, thresholds, escalation ladders and numbering patterns held per tenant, set on your instruction.
  • Your records, independent of your agents - History stays in your tenant, so changing an RTA or a debenture trustee does not mean starting again.
  • Permanent audit trail - Every change, approval, export and login recorded with who, when and what changed. Records are versioned, never overwritten.
  • Protected data - PAN, bank account numbers and contact details encrypted at rest and masked on screen, with every reveal and export logged.

Who We Work With

  • Issuers of listed and unlisted NCDs - Corporates, NBFCs and HFCs that need one controlled system for every NCD they have issued.
  • Arrangers & intermediaries - Firms that want to offer NCD lifecycle management to their clients under their own brand.
  • Investors - A portal for holdings, payout history and tax documents.

How an Engagement Works

  1. Discovery - We understand your portfolio of issuances, your teams and the approvals you need.
  2. Configuration - Branding, tenant set-up, roles, approval matrix and masters are configured for your organisation.
  3. Data onboarding - Existing deals, ISINs, schedules, holders and charges are migrated and reconciled.
  4. Training & go-live - Your teams are trained on their own data, then the platform goes live.
  5. Ongoing support - Regulatory library updates, configuration changes and support for the life of your issuances.

Regulatory Coverage

Obligations come from a versioned regulatory library with effective dates, so each one follows the rule in force on the relevant date. The library covers:

  • SEBI NCS Regulations, 2021 - Issue, listing, record-date and payment requirements for non-convertible securities.
  • SEBI LODR Regulations, 2015, Chapter V - Intimations to the stock exchanges, disclosures, and unclaimed amounts under Regulation 61A.
  • SEBI Master Circular for Debenture Trustees, 28 September 2026 - Security cover and quarterly compliance reports, due 60 days after the quarter end (75 days for the last quarter).
  • Security and Covenant Monitoring System - Recording timelines for covenants, payment status and rating actions.
  • SCORES 2.0 - Investor grievances, with a 21-day response window.
  • Companies Act, 2013 - Charge registration with the ROC (CHG-1, CHG-9, CHG-4) and allotment filings.
  • Income-tax Act, 2025 - Tax deduction at source on interest paid to debenture holders.

Regulatory references last reviewed on 26 October 2026.

Security and Continuity

The platform is built for data that investors, trustees and regulators rely on:

  • Tenant isolation - No query returns another client's data.
  • Maker-checker on money - Payout approval, marking paid and settlement reconciliation each need a second person, enforced on the server.
  • Nothing overwritten - Every change creates a new version, and the audit trail is permanent.
  • Sensitive data protected - PAN and bank details are encrypted at rest and masked on screen.
  • Continuity - Your records stay with you through any change of RTA or debenture trustee.

Built on Gradivus Domain Expertise

The platform comes from the same team that structures, executes and monitors debt transactions for issuers, lenders and investors. Its workflows follow how NCDs are actually issued, serviced and redeemed in India, from term sheet to final redemption.

Scope and Limitations

The NCD Management System supports the issuer's compliance process. It tracks, computes, prepares, reminds and records. It does not file on the issuer's behalf and does not provide legal, tax or investment advice. Responsibility for regulatory filings and disclosures remains with the issuer.

Frequently Asked Questions

What is a white-label NCD management system?

It is a platform for managing Non-Convertible Debentures after issue, including ISINs, schedules, payouts, TDS, security and compliance, that runs under your organisation's own branding rather than the software provider's.

Does it support both listed and unlisted NCDs?

Yes. Unlisted NCDs follow the lighter disclosure path. Listed NCDs bring in the SEBI NCS and LODR obligations and stock exchange requirements, which the platform generates from its regulatory library.

How are payouts kept accurate?

Schedules follow the Key Information Document and are checked against an exact day-count calculation. Holder positions are reconciled with the Benpos on the record date, and every money-affecting action needs a second person to approve it.

Does it replace our RTA or debenture trustee?

No. The registrar keeps the register and the trustee monitors the issue. The platform is the issuer's own system, and it works with the files and reports that pass between all of them.

Does the platform file returns or disclosures for us?

No. It prepares, tracks and records. The issuer remains responsible for filings and disclosures.
